terms of use

Spectrum licence agreement

Terms for using the Portable and Server editions: licence scope, activation, updates, support, and the rights and obligations of both parties.

Draft version 1.2, updated 9 September 2026. The effective date will be specified in the version approved for publication.

Commercial and legal terms must be approved before publication. The draft designation does not amend any previously concluded agreements.

§ 1. Parties and definitions

  1. Licensor: Jacek Pietsch, trading as Platinum iT Jacek Pietsch, ul. Łąkowa 5, 62-052 Komorniki, Poland, tax ID (NIP) 7773170021, REGON 301562788.
  2. Licensee: a business or organisational entity that purchased a Key or obtained a trial Key. The Software is offered for professional and organisational purposes. This agreement does not exclude mandatory rights of a self-employed individual who is entitled to consumer protection in the transaction concerned.
  3. Software: Spectrum Portable or Server, in the version identified by its build date, including documentation.
  4. Key: a signed string WCR1.… specifying the plan, edition, numbers of Users, Workspaces, Environments and Activations, issue date and licence validity period.
  5. Environment: a WEBCON BPS installation environment (e.g. DEV, TEST, PROD) connected to the Software and containing at least one saved configuration state. A detached Environment accepts no new snapshots, remains readable and is not counted.
  6. Workspace: a workspace in the Software grouping Environments of the Licensee's own organisation or one client; it counts towards the limit once at least one snapshot has been saved in its Environments.
  7. User: an account in the Software with access granted or administrator status that has signed in within the last 90 days; disabled and unused accounts are not counted. The Portable edition is intended for one User.
  8. Activation: the association of a Key with one Software instance, identified by a hash of the instance fingerprint.
  9. Subscription: the paid right to use the Software for 12 months, including updates and support. The order and licence confirmation specify the start and end of the paid period.
  10. Grace period: an additional access period after the paid Subscription ends, whose duration is specified in the order before conclusion. It relates to Subscription renewal and is independent of technical tolerance when the licence server cannot be reached.

§ 2. Grant of licence

  1. The Licensor grants the Licensee a non-exclusive, non-transferable licence (subject to § 2(5)) to use the Software worldwide, with the numbers of Users, Workspaces, Environments and Activations specified in the Key (company plans limit Users, partner plans limit Workspaces; an unlimited value is marked as no limit in the Key), for the Licensee's own purposes, including providing services to its clients, particularly analysis of their WEBCON BPS configuration.
  2. Annual licence. The right to use the Software is granted for the paid Subscription period. If the next period is not paid, access to the Software is blocked after the Subscription and grace period expire, including browsing, search, comparison, import, export and AI features. This applies to all versions, including those downloaded and released during the paid period.
  3. Payment for renewal and confirmation of current entitlements restore access while retaining the licence number and saved data. Online installations retrieve the current confirmation; offline installations require importing the current files provided. Blocking does not delete data. Operations necessary to renew the licence and restore access remain available.
  4. The licence includes the right to back up the Software and data and to run no more Software instances than the permitted number of Activations.
  5. The Licensee may transfer the licence to a legal successor or within its corporate group by notifying the Licensor. Transfer to another entity requires the Licensor's consent, which will not be refused without good reason.

The licence covers installing, storing, running and displaying the software and the technical reproduction necessary for these activities. The Licensee may use reports and exports in its work and share them with authorised clients. Access to the software does not confer a right to independently resell copies.

§ 3. Trial version

  1. A trial Key permits use of both Software editions for 30 days from issue, without limits on Users, Workspaces or Environments, solely to evaluate suitability. The Licensor may extend the trial once by 30 days.
  2. One trial is allowed per email domain and instance. The trial does not include the support or warranty in § 7.
  3. Data entered during the trial remains at the Licensee's disposal after it ends; entering a paid Key restores full functionality with the same data.

§ 4. Restrictions

The Licensee must not:

  1. resell Keys or offer the Software as an independent, publicly available SaaS service without a separate agreement. The partner plan allows authorised clients to access the Licensee's own Server instance as part of its services, in their assigned workspaces and within the purchased plan;
  2. circumvent or modify the licensing mechanism, particularly by forging Keys or leases, manipulating the instance fingerprint to exceed Activation limits, or concealing the actual number of Users, Workspaces or Environments;
  3. decompile, disassemble or reverse-engineer the Software beyond what mandatory law permits (Article 75 of the Polish Copyright and Related Rights Act);
  4. remove copyright notices or version information.

Reaching the User, Workspace or Environment limit does not invalidate the licence: the Software prevents creation of another account, Workspace or Environment beyond the limit and alerts the administrator. Logged-in Users retain access, as does access to existing Environments, their history and data; the Software does not delete data because of a limit. The Licensee may upgrade the plan, disable unused accounts or detach an unneeded Environment.

§ 5. Licence activation and transmitted data

  1. The Software contacts the Licensor's licence server during activation, at startup and periodically, usually once a day; administrator actions or reactivation may trigger additional connections. It transmits the Key on activation or licence identifier on verification, the instance fingerprint hash, Software version and counts of Users, Workspaces and Environments, without names. This closed list is described on the Securitypage; the Licensor will not expand it without amending this agreement.
  2. The licensing mechanism does not transmit package contents or the configuration database. The offline request file also contains the edition, creation time, installation public key and signature. Optional AI connections and voluntary sharing of support material are governed by § 9 and the privacy policy.
  3. For installations without internet access, the Licensor provides an offline workflow with a lease file valid for up to 12 months at no additional charge. The file does not extend access beyond the paid Subscription and its grace period.
  4. While access entitlement remains valid, loss of connectivity alone does not delete data or block viewing. After the lease and 14-day technical tolerance expire, the Software becomes read-only until the lease is renewed. This does not extend the Subscription: failure to pay for renewal blocks access after the grace period under § 2(2), including offline installations.

§ 6. Fees, invoices and renewals

  1. The annual licence fee is payable upfront, at the net amount in the catalogue price list valid on the order date or in an individual quote, plus VAT at the applicable rate. For VAT-registered businesses in other EU member states, reverse charge applies after verification of their EU VAT number.
  2. Available payment methods and due dates are stated in the offer or order. Invoices are issued under applicable rules, including through KSeF where required. Card payments, where offered, are processed by Stripe; bank transfers use the details in the order or pro forma invoice.
  3. The Subscription renews for another year upon payment of the renewal invoice; the Licensor sends a reminder 30 days before expiry. Non-payment blocks access after the grace period under § 2(2). Using the grace period alone does not renew the Subscription.
  4. The Licensee may cancel the purchase within 14 days of the paid Key being issued if the Software does not meet expectations; the Licensor refunds the fee and revokes the Key.

§ 7. Warranty and support

  1. During the Subscription, the Licensor provides access to new versions, bug fixes and email support on business days, with an initial response within 2 business days.
  2. The Licensor warrants that, when released, the Software operates substantially in accordance with its documentation. If a material discrepancy cannot be remedied within a reasonable time, the Licensee may terminate the agreement and receive a pro-rata refund for the unused Subscription period.
  3. The Software analyses WEBCON BPS configuration using export formats and configuration database schemas known to the Licensor. Analysis results, particularly inferred dependencies, configuration audit findings and descriptions generated by language models, are supporting material and require verification by the Licensee before deployment decisions.
  4. Otherwise, the Software is provided “as is”. The Licensor does not warrant compatibility with future WEBCON BPS versions or undocumented formats.

Complaints. Complaints may be sent to the address in § 11 or by post to the Licensor. Include the licence number, edition and version, issue description, reproduction steps and preferred resolution where possible. No special form is required. An initial support response does not automatically mean the issue will be fixed within that time; after analysis, we provide instructions and information about further handling. Statutory deadlines and rights take precedence.

Refund within 14 days. To exercise the right in § 6(4), send a statement identifying the purchase and licence. The refund is made within 14 days of receipt, using the same payment method unless the parties agree another method without additional costs. This contractual right does not replace or restrict statutory rights.

§ 8. Liability

  1. The Licensor's total contractual and tort liability is limited to the licence fee paid by the Licensee for the current Subscription period.
  2. The Licensor is not liable for lost profits, business interruption or indirect damage, except where caused intentionally.
  3. These limitations do not apply to liability that cannot be excluded under mandatory law.

§ 9. Intellectual property and third-party components

  1. The Software and documentation are protected by copyright and remain the Licensor's property. This agreement transfers no rights other than the licence in § 2.
  2. The Software includes open-source components, including Node.js, PostgreSQL / PGlite and React, under their own licences and accompanying terms. Those licences take precedence for rights granted directly to recipients. This EULA does not restrict rights under open-source licences.
  3. WEBCON and WEBCON BPS are trademarks of WEBCON Sp. z o.o. The Licensor is not affiliated with WEBCON Sp. z o.o.; the Software is an independent tool that reads the platform's export formats and configuration database.
  4. The Licensor acquires no rights to customer data, configuration or materials. These rights belong to the Licensee or other entitled parties under applicable law and agreements.

Data and confidentiality. The Licensee ensures it is authorised to analyse the supplied configurations, grants access to appropriate persons and makes backups. The Licensor uses support materials only for the agreed service and keeps them confidential, subject to legal obligations. Sharing personal data for processing on behalf of a customer requires prior agreement on roles and, where necessary, a data processing agreement.

Optional AI. Starting generation may send configuration fragments to the model provider chosen by the Licensee. The Licensee determines the provider, permissions and permitted data scope. The provider's service may require a separate agreement and fees. Results require verification; accuracy, uniqueness and exclusive copyright are not guaranteed.

§ 10. Term and termination

  1. The agreement is concluded by accepting the offer on its stated terms; for a trial, by accepting the terms and issuing the Key. Before conclusion, the Licensee receives the EULA and order terms in a form that can be saved. Submitting a quote form alone is not a paid order. The Subscription lasts 12 months and renews through payment for another year. Without renewal, access is blocked after the grace period under § 2(2).
  2. The Licensor may terminate the agreement immediately and revoke the Key for a material breach of § 4 if a demand to cease the breach within 14 days is not complied with.
  3. After termination, the Licensee must stop using the Software; data remains on its infrastructure. Backups and recovery must follow the edition's documentation: Server uses PostgreSQL, while Portable uses a local PGlite directory. Do not assume Portable files can be read directly with pg_dump.

§ 11. Final provisions

  1. Polish law governs this agreement. Business-to-business disputes are heard by the ordinary court with jurisdiction over the Licensor's registered office, unless mandatory law provides otherwise. This clause does not restrict statutory protection to which a person is entitled.
  2. Amendments apply to Keys issued after the date of the new version; previously issued Keys remain governed by the agreement version on their issue date unless the Licensee accepts a newer version.
  3. Personal data processing relating to sales and licensing is described in the Privacy policy.
